1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you and Crewbase Inc ("we", "us", "our"), the operator of the Crewbase platform, including the Crewbase mobile application (iOS and Android) and website at trycrewbase.com (collectively, the "Platform").

By creating an account, accessing, or using any part of the Crewbase Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

2. About Crewbase

Crewbase is a workforce and vendor management platform that connects Promoters, Vendors, Staff, and Gate Staff. The Platform provides tools for operations management, workforce scheduling, document acknowledgement, NFC clock-in, vendor revenue tracking, payroll export, pay compliance guidance, and related services.

Crewbase is a software platform only. We are not an employer, labour hire agency, staffing agency, recruiter, or payroll provider. We do not employ any Staff or Vendors on the Platform, and we are not a party to any employment, engagement, or payment arrangement between users. All employment and engagement relationships exist solely between Vendors and their Staff, or between Promoters and any workers they engage directly. Responsibility for lawful engagement, correct payment, and compliance with all applicable workplace laws rests entirely with the users involved.

3. User Accounts and Roles

3.1 Account creation

To use Crewbase, you must create an account with a valid email address and password. You must provide accurate, complete, and up-to-date information during registration. You must be at least 18 years of age to create an account.

3.2 Account security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@trycrewbase.com if you suspect any unauthorised access to your account. We are not liable for any loss or damage arising from your failure to keep your credentials secure.

3.3 User roles

Crewbase has the following user roles, each with different permissions and responsibilities:

  • Promoters: create and manage operations, invite vendors and staff, manage documents, and view vendor revenue
  • Vendors: manage their team, post jobs, approve timesheets, connect Square, and participate in operations
  • Staff: view shifts, sign documents, clock in via NFC, and access work passes
  • Managers: assist Vendors or Promoters with team and operations management, where granted access
  • Gate Staff: verify work passes and manage entry at sites
  • Admin: platform administration (internal use by Crewbase Inc only)

3.4 Identity verification

Staff are required to complete identity verification before their account can be approved. Verification is performed by a third-party provider. We rely on the outcome of that verification and may also apply manual review. We do not guarantee the accuracy of any third-party verification, and we may approve, reject, suspend, or revoke any account at our discretion, including where verification fails or cannot be completed.

3.5 Account approval

Promoter, Vendor, and Staff accounts may be subject to approval by Crewbase Inc before full access is granted. We reserve the right to reject or revoke approval at our discretion.

3.6 Username

Each user must select a unique username on the platform. Usernames may not impersonate another person, brand, or business.

4. Acceptable Use

4.1 Permitted use

You may use Crewbase only for its intended purpose — legitimate workforce staffing, vendor management, and operations — in accordance with these Terms and all applicable laws.

4.2 Prohibited conduct

You must not:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
  • Impersonate any person or entity or misrepresent your identity or affiliation
  • Upload, transmit, or share content that is defamatory, offensive, fraudulent, or harmful
  • Attempt to gain unauthorised access to any part of the Platform or another user's account
  • Interfere with, disrupt, or damage the Platform or its infrastructure
  • Use automated tools, bots, scrapers, or scripts to access or extract data from the Platform
  • Reverse engineer, decompile, or attempt to derive the source code of the Platform
  • Use the Platform to send spam, unsolicited messages, or malicious content
  • Use the Platform to facilitate underpayment of wages, tax evasion, or any unlawful employment practices
  • Share your account credentials with any other person
  • Create multiple accounts for the purpose of circumventing restrictions or bans

4.3 Vendor responsibilities

Vendors are responsible for ensuring their Staff comply with these Terms when using the Platform. Vendors are responsible for the accuracy of timesheet approvals, pay rate configurations, and payroll exports generated through the Platform, and for correctly paying their Staff in accordance with all applicable laws. Crewbase does not verify the accuracy of payroll data and is not responsible for payroll errors.

4.4 Promoter responsibilities

Promoters are responsible for ensuring all operations they create comply with applicable laws and regulations, including any permits, licences, or safety requirements. Promoters are responsible for the accuracy of operation details, vendor approvals, and documents shared through the Platform.

5. Subscription Plans and Payments

5.1 Free accounts

Staff, Manager, and Gate Staff accounts are free to use with no subscription required.

5.2 Vendor subscription

Vendor accounts require a paid subscription to access full platform features. Current pricing is:

  • 1–9 staff: $9.99 AUD per month
  • 10–25 staff: $29.99 AUD per month
  • More than 25 staff: $29.99 AUD per month plus $2.99 AUD per month for each additional staff member beyond 25

Pricing is based on the number of staff members on your team and is subject to change with reasonable notice to existing subscribers.

5.3 Promoter pricing

Promoter accounts are priced separately. Contact us at hello@trycrewbase.com for Promoter pricing.

5.4 Free trial

New Vendor accounts are eligible for a 3-month free trial. After the trial period, the subscription will automatically convert to a paid plan unless cancelled before the trial ends.

5.5 Billing

Subscriptions are managed and billed through our website using Stripe. By subscribing, you authorise us to charge your nominated payment method on a recurring basis. Subscription management, including upgrades, downgrades, and cancellation, is handled through the web portal.

5.6 Refunds

Subscription fees are non-refundable except where required by Australian Consumer Law. If you believe you are entitled to a refund under Australian Consumer Law, please contact us at hello@trycrewbase.com.

5.7 Cancellation

You may cancel your subscription at any time through the web portal or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have paid.

5.8 Failed payments

If a payment fails, we will notify you and attempt to collect payment again. If payment remains outstanding after reasonable attempts, we may suspend or downgrade your account until payment is resolved.

6. Square Integration and Payments

If you connect your Square account to Crewbase, you authorise Crewbase to access your Square transaction and sales data, and to facilitate payment processing and revenue splits through Square, for the purpose of operating the Platform's payment and reporting features. Payments are processed by Square, not by Crewbase. Your use of Square is subject to Square's own Terms of Service and Privacy Policy. Crewbase Inc is not responsible for Square's services, data, availability, or any errors in Square transaction data.

7. Pay Rates, Award Guidance, and Fair-Pay Features

The Platform includes features that display Fair Work award rate information, suggested minimum rates, and pay-related indicators (including community "fair-pay" scores and leaderboards).

These features are provided as general guidance and estimates only. They are drawn from third-party and government data sources and may be incomplete, out of date, or not applicable to your specific circumstances. They do not constitute legal, employment, payroll, or industrial-relations advice.

You are solely responsible for determining and paying the correct rates for your Staff under the applicable award, agreement, or contract. Crewbase does not guarantee the accuracy of any rate information and accepts no liability for any underpayment, overpayment, or compliance issue arising from reliance on these features. You should verify all pay obligations independently and seek professional advice where needed.

8. NFC Clock-in

The NFC clock-in feature is provided as a convenience tool to assist with staff attendance tracking. Clock-in records generated through the Platform are not guaranteed to be error-free and should not be used as the sole basis for payroll calculations without verification. Crewbase Inc is not responsible for any payroll disputes arising from NFC clock-in data.

9. Documents and Signing

Crewbase provides document upload and in-app acknowledgement tools. Document acknowledgements recorded through the Platform indicate that a user has viewed and acknowledged a document within the app. These records are not legally equivalent to a witnessed signature or formal execution of a deed. You should seek independent legal advice if you require legally binding executed documents for your operations.

10. Community Features

The Platform may include community features such as leaderboards, ratings, and exclusivity arrangements between users.

  • Leaderboard scores are calculated automatically from your activity on the Platform. For staff, this includes factors such as reliability (including attendance and no-shows), ratings received from employers, and overall activity such as completed shifts and hours worked. For employers, this includes factors such as ratings received from staff, staff retention, activity levels, and whether pay rates meet relevant benchmarks. Scores are relative, recalculated periodically, and provided on an "as is" basis as a general indicator only. We do not guarantee their accuracy, and the factors and method of calculation may be changed, recalculated, or removed at any time without notice.
  • Exclusivity arrangements (for example, where a Vendor or Promoter and a Staff member agree to an exclusivity period) are entered into between those users. Crewbase provides the tools to record and manage such arrangements but is not a party to them and is not responsible for their enforcement or any dispute arising from them.

11. Intellectual Property

11.1 Our intellectual property

The Crewbase Platform, including its software, design, branding, logo, content, and features, is owned by Crewbase Inc and protected by Australian and international intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Platform without our express written permission.

11.2 Your content

You retain ownership of any content you upload to the Platform, including documents, profile information, and operation details. By uploading content, you grant Crewbase Inc a non-exclusive, royalty-free licence to store, display, and use that content as necessary to operate the Platform and provide services to you.

11.3 Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant us the right to use that feedback without restriction or compensation to you.

12. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

13. Third-Party Services

The Crewbase Platform integrates with third-party services including Stripe, Square, Supabase, Expo, Resend, Mapbox, and identity verification, phone verification, and government data providers. Your use of these integrations is subject to the respective terms and privacy policies of those providers. Crewbase Inc is not responsible for the availability, accuracy, or conduct of any third-party service.

14. Disclaimers

14.1 Platform provided "as is"

The Crewbase Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Crewbase Inc makes no warranties, express or implied, regarding the Platform, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

14.2 No employment, payroll, or legal advice

Crewbase is a software tool that assists with workforce record-keeping, payroll data export, and pay guidance. It does not constitute and should not be relied upon as employment advice, payroll advice, legal advice, industrial-relations advice, or accounting advice. You should consult qualified professionals for advice specific to your circumstances.

14.3 Uptime and availability

We do not guarantee that the Platform will be available at all times or free from errors, interruptions, or bugs. We will endeavour to provide advance notice of planned maintenance where possible.

15. Limitation of Liability

To the maximum extent permitted by Australian law, Crewbase Inc and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including but not limited to loss of profits, loss of data, payroll errors, underpayment or overpayment of wages, or employment disputes.

Our total liability to you for any claim arising from your use of the Platform will not exceed the total subscription fees you paid to us in the 12 months preceding the claim.

Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.

16. Indemnification

You agree to indemnify and hold harmless Crewbase Inc and its officers, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, your violation of any applicable law or the rights of any third party, or any employment, engagement, or payment dispute between you and another user.

17. Account Suspension and Termination

17.1 By you

You may delete your account at any time through the app settings or by contacting us at hello@trycrewbase.com.

17.2 By us

We reserve the right to suspend, restrict, or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful conduct, or for any other reason at our discretion. We will endeavour to provide notice where practicable.

17.3 Effect of termination

Upon termination, your access to the Platform will cease. We will retain your data in accordance with our Privacy Policy and applicable law.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Victoria, Australia. Any disputes arising from these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

If you have a dispute with us, we encourage you to contact us first at hello@trycrewbase.com to attempt to resolve the matter informally before commencing formal proceedings.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Crewbase Inc regarding your use of the Crewbase Platform and supersede all prior agreements, representations, and understandings.

21. AI-Generated Content

Crewbase provides AI-powered suggestions including inventory reorder recommendations, job post drafting, staff planning estimates, and applicant assessments. You acknowledge that:

  • AI-generated content is advisory only and may not be accurate
  • You are solely responsible for any decisions made based on AI suggestions
  • Hiring decisions based on AI applicant assessments are your own responsibility
  • Crewbase is not liable for any loss or damage resulting from reliance on AI-generated content
  • AI features are subject to usage limits (currently 50 requests per user per day)

22. Content Moderation

By using Crewbase you agree that:

  • You will not post content that is inappropriate, offensive, or harassing
  • Crewbase reserves the right to remove content that violates these terms
  • Repeated violations may result in account suspension
  • You will not abuse the report or block features
  • False or malicious reports may result in account action
